The group is organised around three entities: a UK holding company in London, an operating office in Paris and a Luxembourg family office also acting as the financial structuring vehicle for transactions. That architecture combines the agility of a private investor with the discipline of an institution.
Corporate structure
Each entity in the group fulfils a precise function. The UK holding company carries governance and equity, the French entity conducts transactions on the ground, and the Luxembourg family office, which also acts as the financial structuring vehicle for transactions, hosts structures involving institutional investors.
Operational head office of the group in London. The entity carries governance, equity and relationships with institutional investors.
Parisian operating office. It conducts origination, execution and monitoring of transactions located in France.
Luxembourg family office also acting as the financial structuring vehicle for transactions. It hosts structures involving institutional investors and international co-investors.
Dedicated department
The Institutional & Banking department centralises all of Quantum's relationships with the European banking and institutional network. It is the point of entry for lenders, co-investors and advisers.
Sourcing and negotiation of senior and mezzanine debt with European banks and alternative lenders.
Construction of the financing plan, selection of vehicles and direct negotiation of covenants.
Management of partner institutional investors, from initial framing through to periodic reporting.
Maintenance of the group's credit lines and banking relationships beyond the perimeter of any single transaction.
Investment committee
Every acquisition, refinancing and disposal is submitted to the group investment committee, chaired by Gad Rebot.
The committee reviews the investment thesis, the financing structure selected, exit assumptions and the consolidated exposure of the fund. It convenes at each determining stage of a file, from letter of intent to disposal decision.
No transaction proceeds without unanimous agreement. Files that have been declined are not revisited without new and documented information.
Confidentiality
The group applies a restrictive communication policy. Information relating to counterparties, holding structures and financing terms is not published, and transactions conducted for third parties are mentioned only with the express agreement of the parties.
That reserve is a condition of access to the off-market situations in which the group operates.
